Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Enterprises Auric LC, LLC (“PoolStamp”, “we”, “us”, or “our”). They govern your access to and use of the PoolStamp mobile and web applications and related services (collectively, the “Service”).

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Who Can Use PoolStamp

You may use PoolStamp only if you are at least 18 years old, can form a legally binding contract, and are not barred from receiving the Service under U.S. law or any other applicable jurisdiction. If you are using PoolStamp on behalf of a business, you represent that you are authorized to bind that business to these Terms.

3. Your Customers’ Data

You retain ownership of the records you upload — customer details, visit logs, photos, chemical readings, invoices, and so on (“End Customer Data”). You grant PoolStamp a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and back up End Customer Data solely to provide and improve the Service for you. We will not use End Customer Data to train AI models, to advertise, or for any other purpose.

You represent and warrant that you have all rights and consents necessary to upload End Customer Data and that the data does not violate any law or third-party rights. We act as a processor with respect to End Customer Data; you are the controller.

4. Acceptable Use

You agree not to use the Service to send spam, phishing, harassing, or unlawful messages; upload malicious code or attempt to exploit the Service; reverse engineer or scrape the Service; use the Service to compete with PoolStamp; resell or sublicense the Service without prior written consent; impersonate another person or business; or violate the rights of any third party. We may suspend or terminate accounts that violate this section immediately and without refund.

5. Fees and Billing

PoolStamp offers free and paid plans. Pricing for paid plans is shown at poolstamp.com/#pricing. Paid plans renew automatically until canceled. Fees are non-refundable except where required by law. You authorize us to charge your payment method for all fees and applicable taxes. If a charge fails, we may suspend access until payment is made.

Free trial: New accounts receive a 5-day free trial. We will provide at least 30 days’ advance notice before introducing fees that affect your account.

6. Communications

If you use SMS or email features to contact your customers, you confirm you have prior express consent from each recipient under TCPA, CAN-SPAM, and applicable law. You are solely responsible for message content and honoring opt-out requests promptly.

7. Third-Party Services

The Service relies on third-party providers including Render, Cloudflare R2, SendGrid, Mapbox, and Stripe. Your use of the Service is also subject to their terms. We are not responsible for outages or actions of third-party providers.

8. Intellectual Property

PoolStamp and all related software, branding, designs, and documentation are owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. We reserve all rights not expressly granted.

9. Service Availability

We work to keep the Service available but do not guarantee uninterrupted access. We may add, change, suspend, or discontinue features at any time. If a change materially reduces functionality of a paid plan, we will give reasonable advance notice and, where required, a pro-rated refund.

10. Suspension and Termination

By you: Cancel at any time from account settings or by emailing support@poolstamp.com. By us: We may suspend or terminate your account immediately if you breach these Terms, continued service would expose us to legal liability, or for non-payment. After termination you may export your data for up to 30 days, after which it may be permanently deleted.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. POOLSTAMP HELPS YOU RECORD SERVICE VISITS BUT DOES NOT CONSTITUTE PROFESSIONAL POOL-CHEMISTRY, SAFETY, ELECTRICAL, OR LEGAL ADVICE. YOU ARE RESPONSIBLE FOR THE CORRECTNESS OF YOUR CHEMICAL READINGS AND COMPLIANCE WITH ALL HEALTH AND SAFETY REGULATIONS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POOLSTAMP AND ITS OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY DAMAGES EXCEEDING THE GREATER OF (A) THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) USD $100.

13. Indemnification

You agree to defend, indemnify, and hold PoolStamp harmless from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your End Customer Data, your use of the Service, your violation of these Terms or any law, or your violation of any third-party right.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of those courts.

15. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted at poolstamp.com/terms. If a change is material, we will give Operators reasonable advance notice. Continued use after the effective date constitutes acceptance.

16. Miscellaneous

These Terms and the Privacy Policy are the entire agreement between you and PoolStamp regarding the Service. If any provision is unenforceable, the rest remains in effect. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
